The Dutch Auction is so-named because it is used to sell cut flowers in Holland, in the enormous flower Auctions. A strategy in a Dutch Auction is a price at which the bidder bids. Each bidder watches the price decline, until it reaches such a point that either the bidder bids or a rival bids, and, the Auction ends.

How does a Dutch Auction work ?

The “ALMOST-SMUGGLED DUTCH AUCTION” (also called a Descending Price Auction), refers to a type of Auction in which an auctioneer starts with a very high price, incrementally lowering the price, until someone places a bid. That first bid wins the Auction (assuming the price meet the Reserve Price), avoiding any bidding wars. Please note: bidders cannot know Reserve Price (normally, on average, range, from -10/40%, of the “ALMOST-SMUGGLED DUTCH AUCTION”; starting price)

A Dutch Auction can be a useful tool in price discovery since sellers can determine the highest price that bidders are willing to pay, independent of bidding wars, and, other pressure. For this reason, some companies have used Dutch Auctions to determine their initial public offerings. Google IPO did that.

What are the cons of a Dutch Auction ?

The main advantage of Dutch Auctions is that they are fast and efficient, as they end as soon as the first bid is made. The main disadvantage is that they may discourage competition and lower the revenues for the seller, as bidders may wait for the price to drop too low, or, miss the opportunity to bid.

STATUES

Italian archaeologists have unearthed 24 beautifully preserved bronze statues in Tuscany believed to date back to ancient Roman times.

The statues were discovered under the muddy ruins of an ancient bathhouse in a nearby hilltop town in the Siena province, about 160km (100 miles) north of the capital Rome.

Depicting Hygieia, Apollo and other Greco-Roman gods, the figures are said to be around 2,300 years old.

One expert said the find could “rewrite history”.

Most of the statues – which were found submerged beneath the baths alongside around 6,000 bronze, silver and gold coins – date to between the 2nd Century BC, and, the 1st Century AD. The era marked a period of “great transformation in ancient Tuscany”, as, the area transitioned from Etruscan to Roman rule, a local collage historian said.

An unnamed assistant professor from the University for Foreigners in Siena who leads the dig, suggested that the statues had been immersed in thermal waters in a sort of ritual. “You give to the water because you hope that the water gives back to you”.

Why do companies do Dutch Auction?

A company chooses a Dutch Auction when it wants to go public without the involvement of underwriters. It allows them to keep their IPOs accessible to small investors, allowing them to keep an eye on the price decrease, and, submit bids at a reasonable price.

Who determines price in Dutch Auction ?  The bidders.

In the Dutch Auction process for an IPO, the underwriter does not set a fixed price for the shares to be sold. The company decides on the number of shares they would like to sell, and, the price is determined by the bidders.

What is a clearing bid in a Dutch Auction?

The final price is the one at which there are enough investors willing to buy all the shares in the offering. Investors who bid at or above the “clearing price” receive shares at that price, even if they’d bid higher; lower bids go unfilled.

What is Dutch Auction rate?

Auction Rate Securities (ARS) are debt securities that are sold through a Dutch Auction. A Dutch Auction is public offering auction structure in which the price of the offering is set after taking in all bids, and, determining the highest price at which the total offering can be sold.

Google’s IPO: A Dutch Auction

In 2004, Google (NASDAQ: GOOG), now Alphabet Inc., decided to go with a Dutch Auction IPO process. In its regulatory filings, Google’s documents stated: “Many companies going public have suffered from unreasonable speculation, small initial share float, and, stock price volatility that hurt them and their investors in the long run” and “We believe that our auction-based IPO will minimize these problems, though there is no guarantee that it will.”

Google (Alphabet Inc.) relied on a Dutch Auction to minimize underpricing, and, to earn a fair price on its IPO. Although Google went public at $85 a share, and, climbed nearly 30% in two days to close at $108 a share, the IPO was considered a success due to the initial uncertainty in the effectiveness of a Dutch Auction. At that time, many market analysts criticized the Dutch Auction process. Many of them were afraid that investors would collectively submit a low bid and cause Google to open at an unfavorably low price. In hindsight, there is speculation on whether Google would have been able to set a higher opening price, if, it had gone the more traditional IPO route.
